AGREEMENT TO THESE TERMS
These Terms of Use ("Terms") govern your access to and use of the website at https://www.aryvonai.com and any related products and services that link to these Terms (together, the "Services"), operated by Aryvon Intelligence Private Limited ("Aryvon," "we," "us," or "our"), a company registered in India at Ruparel Iris, 301/302 — 3rd Floor, S.B. Road, Matunga West, Mumbai, Maharashtra 400016.
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
These Terms govern your use of our website. They do not govern the use of VedVault, our product, within a customer deployment — that use is governed by the separate written agreement entered into with the customer.
We may update these Terms from time to time. Changes take effect when we post them and update the "Last updated" date, and your continued use of the Services means you accept the revised Terms. We recommend keeping a copy for your records.
The Services are intended for users aged 18 or over. If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

1. OUR SERVICES
We make no representation that the Services are appropriate or available in every location. If you access the Services from a jurisdiction where doing so would be unlawful, you must not use them. Those who access the Services do so on their own initiative and are responsible for compliance with applicable local laws.
2. INTELLECTUAL PROPERTY RIGHTS
We own or licence all intellectual property rights in the Services, including the source code, databases, functionality, software, designs, text, graphics, and other content (the "Content"), together with the Aryvon and VedVault names, logos, trademarks, and service marks (the "Marks"). The Content and Marks are protected by law.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access the Services and to view, download, or print portions of the Content solely for your personal use or internal business evaluation, provided you keep all proprietary notices intact.
Except as permitted here, you may not copy, reproduce, republish, distribute, sell, licence, or otherwise exploit any Content or Marks for any purpose without our prior written permission, and systematic extraction or scraping of the Content is not permitted. To request permission, contact contact@aryvonai.com. We reserve all rights not expressly granted.
3. YOUR REPRESENTATIONS
By using the Services, you represent and warrant that: (a) you have the legal capacity to agree to these Terms and will comply with them; (b) you are not a minor in your jurisdiction; (c) you will not access the Services through automated or non-human means except as permitted; (d) you will not use the Services for any unlawful or unauthorised purpose; and (e) your use will not violate any applicable law or regulation. If any information you provide is untrue or incomplete, we may suspend or refuse your access to the Services.
4. PROHIBITED ACTIVITIES
You may use the Services only for their intended purpose. You agree not to:
Systematically retrieve, scrape, or compile Content or data from the Services without our written permission.
Circumvent, disable, or interfere with security-related features of the Services.
Reverse engineer, decompile, or disassemble any software forming part of the Services, except as permitted by law.
Copy or adapt the underlying code of the Services.
Introduce viruses, malware, or any material that disrupts the Services or others’ use of them.
Use any automated system — bot, spider, scraper, or similar — to access the Services, except standard search-engine indexing.
Attempt to gain unauthorised access to the Services, related systems, or other users’ information.
Use the Services to harass, defraud, or mislead us or others, or to collect information for unsolicited contact.
Use the Services to compete with us or for any unauthorised commercial purpose.
Use the Services in any manner inconsistent with applicable law.
Any breach may result in suspension or termination of your access and appropriate legal action.
5. FEEDBACK AND SUBMISSIONS
If you send us questions, comments, suggestions, feedback, or ideas about the Services ("Feedback"), you grant us a non-exclusive, royalty-free, worldwide licence to use that Feedback to operate and improve our Services, without obligation or compensation to you.
Please do not send confidential or proprietary information through the website. Any confidential engagement — including sharing your institution’s records or documents — should take place under a formal agreement and through a secure channel, not through general website enquiries. You are responsible for ensuring that anything you send does not infringe the rights of others or violate any law.
6. VEDVAULT AND PRODUCT TERMS
Aryvon’s products, including VedVault, are provided to customers under separate written agreements. Nothing on the Services constitutes an offer, warranty, or contractual commitment regarding those products. Product descriptions on the Services are for general information only and do not form part of any contract unless expressly incorporated into a signed agreement. Where VedVault processes a customer’s records, it does so within the customer’s approved environment under that agreement, not under these Terms.
7. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to monitor the Services for breaches of these Terms, take appropriate legal action against anyone who breaches them or the law, restrict or disable access where reasonable, and otherwise manage the Services to protect our rights and ensure their proper functioning.
8. TERM AND TERMINATION
These Terms remain in effect while you use the Services. We may, in our discretion and without notice or liability, restrict, suspend, or terminate your access to the Services — including by blocking IP addresses — for any breach of these Terms or applicable law, or for any other reason. We may also pursue appropriate legal remedies.
9. MODIFICATIONS AND INTERRUPTIONS
We may change, modify, or remove Content at any time without notice, and we are not obliged to update any information. We aim to keep the Services available but cannot guarantee uninterrupted access; we may suspend or discontinue the Services, in whole or in part, at any time without liability to you. You agree that we are not liable for any loss or inconvenience caused by downtime or discontinuance.
10. GOVERNING LAW
These Terms are governed by the laws of India. You and Aryvon agree that the courts of Mumbai, India shall have exclusive jurisdiction over any dispute arising from or relating to these Terms, subject to the dispute-resolution provisions below.
11. DISPUTE RESOLUTION
Informal negotiation. Before commencing formal proceedings, the parties agree to attempt to resolve any dispute informally for at least thirty (30) days after written notice from one party to the other.
Arbitration. If the dispute is not resolved informally, it shall be referred to arbitration seated in Mumbai, India, conducted in English, under the applicable arbitration rules. The governing law shall be the substantive law of India.
Exceptions. Claims to enforce or protect intellectual property rights, and claims for injunctive relief, may be brought in court.
Restrictions. Any arbitration is limited to the dispute between the individual parties and will not be consolidated with any other proceeding or brought on a class or representative basis.
12. CORRECTIONS
The Services may contain typographical errors or inaccuracies. We may correct these and update information at any time without prior notice.
13. DISCLAIMER
The Services are provided on an "as is" and "as available" basis, and your use of them is at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any Content is accurate or complete.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, in no event will Aryvon or its directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Services, even if advised of the possibility of such damages.
15. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Aryvon and its affiliates, officers, agents, and employees from and against any loss, liability, claim, or demand (including reasonable legal fees) arising from (a) your use of the Services, (b) your breach of these Terms, (c) breach of your representations and warranties, or (d) your violation of the rights of a third party or any applicable law. We may assume the exclusive defence of any such matter at your expense, and you agree to cooperate.
16. USER DATA
We maintain certain data you transmit through the Services in order to manage their performance and your use of them, and we perform routine backups. You remain responsible for the data you transmit through the Services, and, to the extent permitted by law, we are not liable for any loss or corruption of it. This clause concerns data handled through the website; personal data is addressed in our Privacy Policy.
17. ELECTRONIC COMMUNICATIONS AND SIGNATURES
By using the Services, sending us email, or completing online forms, you consent to receive electronic communications and agree that electronic agreements, notices, disclosures, and records satisfy any legal requirement that they be in writing. You consent to the use of electronic signatures and records, to the extent permitted by applicable law.
18. MISCELLANEOUS
These Terms, together with any policies we post on the Services, constitute the entire agreement between you and us regarding the Services. Our failure to enforce any provision is not a waiver of it. If any provision is found unlawful or unenforceable, it is severed and the remaining provisions continue in effect. We may assign our rights and obligations at any time. No joint venture, partnership, or employment relationship is created by these Terms, and you waive any defence based on their electronic form.
